Anti-Social Forces Policy

Murakura Asset Management Co., Ltd. ("the Company") commits to taking a firm stance against any and all anti-social forces that threaten public order and safety, and to severing all relations with such forces. This policy applies to all directors, employees, and any other persons acting on behalf of the Company.

Article 1 — Organisational Response

The Company shall respond to any unjust demand from anti-social forces as an organisation, rather than relying on the individual judgement of any particular employee. Upon recognising contact or unjust demand from anti-social forces, directors and employees shall promptly report to the Representative Director to enable an organisational response.

Article 2 — Cooperation with External Specialist Bodies

The Company shall maintain close cooperation with police, lawyers, prefectural Centres for the Elimination of Organised Crime (Bōryokudan Tsuihō Undō Suishin Centre), and other external specialist bodies, in preparation for unjust demands from anti-social forces.

Article 3 — Complete Severance of Relations including Transactions

The Company shall sever all relations with anti-social forces, including business transactions. Should it become apparent that a counterparty in any contract is an anti-social force, the Company shall take decisive action including termination of such contract.

"Anti-social forces" in this policy collectively refer to: organised crime syndicates (bōryokudan), members and quasi-members of such syndicates, persons whose membership has not yet expired for five years, enterprises related to such syndicates, sōkaiya (extortionists targeting general meetings of shareholders), social activism racketeers, intellectual organised criminal groups, and other persons or entities of a similar nature.

Article 4 — Legal Response in Civil and Criminal Matters

The Company shall respond to unjust demands from anti-social forces through both civil and criminal legal channels, in cooperation with external specialist bodies. The Company shall not engage in easy compromise or settlement.

Article 5 — Prohibition of Hidden Transactions and Provision of Funds

Even where unjust demands from anti-social forces relate to alleged scandals or improper conduct in the Company's business activities, the Company shall not yield to such demands, and shall not engage in hidden transactions, monetary payments, provision of benefits, or any other involvement with anti-social forces.

Article 6 — Reflection in Contracts

The Company shall include in its contracts with customers and other counterparties (i) representations and warranties that the counterparty is not an anti-social force, and (ii) termination clauses applicable in the event that the counterparty is found to be an anti-social force (commonly referred to as the "anti-social forces clause").
